Terms of Service

Section 1 - Services:
Orderprise provides automation services for distribution businesses, including invoice processing, purchase order management, SMS order intake, supplier and customer communication, inventory tracking, and ERP integration. The specific services provided to you are based on your custom agreement.
Section 2 - Account Responsibilities:
You are responsible for providing accurate business information during setup and maintaining the security of your account access credentials. You agree to notify us immediately if you become aware of any unauthorized use of your account.
Section 3 - Data Ownership:
You retain full ownership of all business data you provide to Orderprise, including invoices, orders, product information, customer lists, and supplier records. We do not claim ownership of your data. We may use aggregated, anonymized data across our client base to improve our platform and develop new features. Your specific business data is never shared with or used for any other client.
Section 4 - Payment Terms:
Pricing is custom and based on your volume, suppliers, and operational needs. Services are invoiced monthly and payment is due upon receipt. We reserve the right to adjust pricing with 30 days written notice.
Section 5 - Cancellation:
There are no long-term contracts. You may cancel your service at any time with 30 days written notice. Upon cancellation, we will provide you with an export of your data and remove it from our systems within 60 days.
Section 6 - Service Availability:
We strive to maintain high availability of our services but do not guarantee 100% uptime. We will notify you in advance of any planned maintenance that may affect your service.
Section 7 - Intellectual Property:
The Orderprise platform, including all code, systems, workflows, and automation tools, is the intellectual property of Orderprise LLC. Your subscription gives you a license to use our platform for your business operations but does not transfer ownership of any Orderprise technology.
Section 8 - Limitation of Liability:
Orderprise is not liable for indirect, incidental, or consequential damages arising from use of our services. Our total liability is limited to the amount you have paid for services in the 12 months prior to any claim.
Section 9 - Confidentiality:
All client data is treated as confidential. We will never disclose, share, or make accessible any client's business data, including invoices, pricing, customer lists, supplier information, or order details, to any other client or third party. Each client's data is stored separately and access is restricted to authorized Orderprise personnel working on that client's account only. Any breach of this confidentiality by the client, including attempting to access another client's data or misusing the platform to obtain information about other businesses, is grounds for immediate termination of service.
Section 10 - Changes to Terms:
We may update these terms from time to time. We will notify you of significant changes by email at least 30 days before they take effect. Continued use of our services after changes take effect constitutes acceptance of the updated terms.
Section 11 - Governing Law:
These terms are governed by the laws of the State of Florida. Any disputes will be resolved in the courts of Broward County, Florida.
